Vendor Platform Terms and Onboarding Agreement

1. Parties
This Vendor Agreement (“Agreement”) is entered into between:

and the individual or business entity that registers as a vendor on the Ermisway platform (“Vendor”, “you”, or “your”).
By completing the vendor registration process, activating a vendor account, or using any vendor feature on the Ermisway platform, you confirm that you have read, understood, and agree to be bound by this Agreement and Ermisway’s general Terms and Conditions and Privacy Policy, all of which form part of the contractual relationship between you and Ermisway.
2. Role of Ermisway
Ermisway is an online marketplace and store-hosting platform. Ermisway provides the technical infrastructure, marketplace environment, vendor tools, visibility features, and related platform services that allow vendors to create and manage their own store presence and sell products and/or services directly to customers.
Ermisway is not the seller, reseller, distributor, merchant of record, agent, employer, partner, or representative of any vendor. Any contract for the sale of products or the provision of services is concluded directly between the vendor and the customer. The vendor, not Ermisway, is responsible for its products, services, listings, fulfilment, customer service, refunds, returns, taxes, and legal compliance.
3. Vendor Eligibility and Registration
To register and operate as a vendor on Ermisway, you must:
- be a legally operating business or sole trader based in Cyprus or Greece, or another territory expressly permitted by Ermisway;
- have the legal capacity and authority to enter into binding agreements;
- provide accurate, complete, and verifiable registration information, including business name, contact details, tax identification number or VAT number where applicable, and any other information required during onboarding;
- complete payment account onboarding via Stripe Connect Standard or another approved payment provider as required;
- hold all licences, permits, registrations, and authorisations required to sell your products or services under applicable law;
- not be subject to sanctions, payment provider bans, or legal restrictions that would prevent lawful platform participation.
Ermisway reserves the right to refuse, suspend, or terminate vendor registration at any time, including where eligibility requirements are not met, where information provided is inaccurate or unverifiable, or where Ermisway determines that vendor participation creates legal, reputational, payment, or platform integrity risk.
4. Subscription Plans and Fees
4.1 Available Plans
Ermisway offers vendor subscription plans, including a free entry-level plan and paid plans with expanded features and product limits. The current plans, pricing, and feature limits are described on the Ermisway pricing page at ermisway.com. Plan details, pricing, and feature limits may be updated from time to time.
The free plan currently permits vendors to list up to ten (10) products. Feature limits, product caps, and available tools differ between plans. Ermisway reserves the right to modify free plan limits, introduce new plans, retire existing plans, or change the features included in any plan, subject to reasonable notice where required by law.
4.2 Billing and Renewal
Paid subscription plans are billed on a recurring basis (monthly or annually, depending on the plan selected). Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
Vendor subscription billing is administered through Stripe. Billing-related communications, invoices, and payment receipts are sent directly by Stripe to the email address associated with your Stripe account.
4.3 Cancellation
Vendors may cancel their subscription at any time through their billing portal, account settings, or by contacting Ermisway at [email protected]. Cancellation stops future renewals but does not automatically entitle the vendor to a refund of fees already incurred, unless required by applicable law.
Upon cancellation or downgrade, vendor access to paid features, promotional placements, and subscription benefits will continue until the end of the current billing period, after which access will revert to the free plan or be removed, depending on the cancellation type.
4.4 Payment Failure
If a subscription payment fails, Ermisway may restrict, downgrade, suspend, or terminate access to paid vendor features. Ermisway will attempt to notify vendors of payment failures through available contact channels.
4.5 Non-Refundable Fees
Unless required by applicable law, vendor platform fees paid to Ermisway are non-refundable once incurred. Promotional placements, advertising tools, and other optional paid services are also non-refundable once activated, unless otherwise stated in writing.
5. Vendor Obligations
As a vendor on Ermisway, you are solely responsible for:
- the legality, quality, safety, accuracy, and compliance of your products, services, and listings;
- ensuring that your listings contain accurate pricing, product or service descriptions, images, stock information, delivery terms, refund terms, return terms, and any legally required consumer information;
- maintaining all required licences, permits, registrations, authorisations, and insurance for your business and product/service categories;
- collecting, reporting, and remitting all applicable taxes, VAT, duties, and charges arising from your sales, unless Ermisway is legally required to do so;
- handling all customer enquiries, orders, complaints, cancellations, refunds, returns, chargebacks, warranties, and after-sales support;
- complying with applicable laws in Cyprus, Greece, the European Union, and any other relevant jurisdiction;
- maintaining an active and compliant Stripe Connect Standard account and cooperating with Stripe’s verification, anti-fraud, and dispute processes;
- responding to customer enquiries and complaints within a reasonable timeframe;
- promptly updating or removing listings that are inaccurate, unavailable, unlawful, or misleading;
- cooperating with any reasonable investigation, review, or request from Ermisway or relevant authorities.
6. Listings, Content, and Prohibited Items
6.1 Content Standards
All content you publish on Ermisway, including product listings, service descriptions, images, pricing, store information, and promotional materials, must be:
- accurate, complete, and not misleading;
- owned by you or used with all necessary rights and permissions;
- compliant with applicable consumer, advertising, product safety, labelling, and intellectual property laws;
- free from false claims, hidden charges, fake scarcity, manipulated pricing, or deceptive practices.
6.2 Prohibited Products and Services
You may not list, offer, promote, or facilitate the sale of products or services that are prohibited under Ermisway’s general Terms and Conditions or applicable law, including but not limited to illegal goods, counterfeit items, weapons, controlled substances, unlicensed regulated products, and any category expressly restricted by Ermisway.
Ermisway may publish category-specific rules and prohibited item lists from time to time. Vendors are responsible for checking and complying with those rules before listing.
6.3 Moderation
Ermisway may review, moderate, restrict, remove, or disable any listing or content that in its reasonable judgment creates legal, safety, compliance, reputational, or platform integrity risk. Such moderation does not make Ermisway the seller, guarantor, or responsible party for vendor products or services.
7. Payments, Payouts, and Stripe Connect
Vendor transactions on Ermisway are processed through Stripe Connect Standard. By operating as a vendor, you agree to Stripe’s terms of service and to complete all required account verification, identity checks, and compliance processes required by Stripe.
Ermisway does not act as the merchant of record for vendor sales and does not hold, control, or settle customer payment funds as seller revenue. Vendor payouts are administered by Stripe in accordance with Stripe’s payout schedule and account terms.
Ermisway is not responsible for Stripe account restrictions, payout delays, verification failures, dispute outcomes, chargeback decisions, or other payment provider actions. Vendors must cooperate with Stripe’s dispute and chargeback processes and provide required documentation when requested.
8. Customer Relations and Consumer Rights
Vendors are solely responsible for their customer relationships, including managing orders, communicating with customers, delivering products or performing services on time, and handling all refunds, returns, complaints, and disputes.
Vendors must comply with all mandatory consumer protection laws applicable in Cyprus, Greece, and the European Union. Vendor refund, return, and cancellation policies must be lawful, clearly stated, available to customers before purchase, and must not reduce mandatory consumer rights.
Ermisway may, at its discretion, provide platform-level communication support in dispute situations but is not obligated to resolve vendor-customer disputes and does not guarantee any outcome. Platform-level assistance does not make Ermisway the seller, merchant of record, or guarantor of vendor performance.
9. Data Protection
Each party acts as an independent data controller for the personal data it processes. Ermisway processes personal data in accordance with its Privacy Policy. Vendors act as independent data controllers for personal data they receive or access in connection with their own sales, services, customer relationships, and fulfilment obligations.
Vendors must process customer personal data lawfully, securely, and only for legitimate purposes connected with the relevant transaction or customer relationship. Vendors must not use customer personal data obtained through the Ermisway platform for spam, unrelated marketing, resale, unlawful profiling, or any other unlawful purpose.
Vendors must maintain appropriate technical and organisational measures to protect personal data and must comply with all applicable data protection laws, including the GDPR.
10. Intellectual Property and Content Licence
By submitting content to Ermisway, including listings, logos, images, descriptions, and other materials, you grant Ermisway a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, adapt, format, publish, translate, and distribute that content for the purpose of operating, improving, marketing, and promoting the platform.
You represent that you own or have all necessary rights to grant this licence. You must not publish content that infringes any third-party intellectual property, privacy, or other rights.
The Ermisway platform, branding, design, software, and materials are owned by or licensed to Innotevia Limited and are protected by applicable intellectual property laws. Vendors may not copy, reproduce, or commercially exploit any part of the Ermisway platform without express written permission.
11. Suspension, Restriction, and Termination
Ermisway may at any time suspend, restrict, downgrade, remove, or terminate a vendor account, store, or listing, with or without prior notice where urgency or risk requires, for reasons including:
- breach of this Agreement or Ermisway’s general Terms and Conditions;
- provision of inaccurate, misleading, or unverifiable registration information;
- fraudulent, abusive, deceptive, or unlawful conduct;
- repeated or serious customer complaints;
- prohibited listings or content;
- non-payment of subscription fees;
- payment provider restrictions or compliance issues;
- legal, safety, reputational, or platform integrity risk.
Vendors may request review of a suspension or account action by contacting [email protected] with relevant details and supporting information. Ermisway will review such requests within a reasonable time but does not guarantee reinstatement or any specific outcome.
Upon termination, vendor access to all platform features, listings, and tools will cease. Termination does not relieve the vendor of obligations already incurred, including outstanding customer orders, refund obligations, tax obligations, or liabilities arising before termination.
12. Limitation of Liability
To the fullest extent permitted by applicable law, Ermisway’s liability to a vendor in connection with this Agreement or the use of the platform shall not exceed the total subscription fees paid by that vendor to Ermisway in the six (6) months preceding the event giving rise to the claim, or EUR 100, whichever is greater.
Ermisway is not liable for indirect, incidental, consequential, special, or punitive damages, including loss of profit, loss of revenue, loss of data, loss of business, or reputational harm arising from use of or inability to use the platform, vendor sales or non-performance, payment provider decisions, third-party acts, or platform changes.
Nothing in this Agreement limits liability that cannot lawfully be excluded, including liability for fraud, wilful misconduct, or mandatory statutory rights.
13. Indemnity
You agree to defend, indemnify, and hold harmless Innotevia Limited and its directors, officers, employees, and agents from and against any claims, liabilities, losses, damages, fines, costs, and legal fees arising from your breach of this Agreement, your listings, products, services, or content, your violation of applicable law or third-party rights, or any dispute between you and a customer.
14. Changes to This Agreement
Ermisway may update this Agreement from time to time. Material changes to subscription fees or core commercial terms will be notified to vendors in advance, normally by email, and will typically take effect from the next renewal period. Continued use of the platform after changes take effect constitutes acceptance of the revised Agreement, except where a different acceptance mechanism is required by law.
15. Governing Law and Jurisdiction
This Agreement is governed by the laws of the Republic of Cyprus. The courts of Cyprus shall have exclusive jurisdiction over disputes arising from this Agreement, subject to any mandatory rights available under the laws of the vendor’s country of establishment or residence.
