These Terms and Conditions (“Terms“) govern access to and use of the Ermisway website, platform, marketplace, vendor store tools, and related services operated by Innotevia Limited, trading as Ermisway (“Ermisway“, “we“, “us“, or “our“).
By accessing or using Ermisway, you agree to be bound by these Terms. If you do not agree, you must not use the platform.

2. Role of Ermisway
Ermisway is an online marketplace and store-hosting platform that enables independent vendors to create and manage their own store presence, publish listings, communicate with customers, and sell products and/or services directly to customers.
Ermisway provides the technical platform, marketplace infrastructure, vendor tools, visibility features, and related platform services. Ermisway is not the seller, supplier, reseller, distributor, merchant of record, agent, employer, partner, representative, fulfilment provider, or service provider of any vendor, unless expressly stated otherwise in writing.
Any contract for the sale of products or provision of services is concluded directly between the customer and the relevant vendor. The vendor, not Ermisway, is responsible for the products or services it offers.
Ermisway does not take title to vendor products, does not manufacture, store, inspect, ship, deliver, fulfil, or perform vendor offerings, and does not control the vendor’s fulfilment, delivery, customer service, refund, return, chargeback, or after-sales process.
Ermisway may take platform-level actions where necessary or appropriate, including moderating listings, reviewing reports, restricting accounts, preserving records, supporting communication, preventing fraud or abuse, cooperating with payment providers, or complying with applicable law. These actions do not make Ermisway the seller, supplier, fulfilment provider, merchant of record, guarantor, or party responsible for vendor obligations.
3. Independent Vendor Store Model
Each vendor operates its own independent store presence on Ermisway. Vendors control their own listings, prices, product and service descriptions, images, stock information, customer communications, fulfilment arrangements, refund and return handling, delivery methods, service performance, and payment account, subject to these Terms and applicable law.
Ermisway provides the platform infrastructure that allows vendors to maintain their store and interact with customers. Ermisway does not operate the vendor’s business and does not assume responsibility for the vendor’s commercial, legal, tax, payment, refund, delivery, or customer-service obligations.
4. Marketplace Transparency and Ranking
Ermisway operates as an online marketplace connecting customers with independent vendors. Customers should review each vendor’s listing, business information, pricing, delivery terms, refund terms, return terms, cancellation terms, and service details carefully before placing an order.
Listings displayed on Ermisway may be ranked, featured, recommended, or otherwise ordered based on factors such as relevance to the user’s search, category selection, location, listing completeness, listing quality, vendor activity, customer engagement, availability of information, vendor subscription level, promotional placements, and other commercial, operational, safety, or platform-related factors determined by Ermisway.
These are the main parameters that may influence ranking and visibility. Their relative importance may vary depending on the page, category, search query, user interaction, available data, subscription plan, promotional placement, and platform feature. Ermisway is not required to disclose confidential algorithmic, anti-abuse, security, or commercial details.
Certain vendors may purchase promotional visibility, featured placements, advertising tools, or subscription-based benefits that may affect how or where their listings appear on the platform. Paid promotional placements or featured listings may be identified where required by law.
Ermisway does not guarantee that any listing will appear in a particular position, receive a minimum level of visibility, or generate a specific number of enquiries, visits, orders, sales, or revenue.
5. Eligibility and Acceptance
To use Ermisway, you must have legal capacity to enter into binding agreements under applicable law. If you use Ermisway on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these Terms.
Ermisway currently accepts vendors operating from Cyprus and Greece. We reserve the right to limit, refuse, suspend, or expand platform access by territory, business type, product category, service category, risk level, or user category at any time.
6. Accounts and Account Responsibility
Certain features of the platform may require account registration. Customers may be permitted to purchase as guests where this option is made available. Vendors must create and maintain an account in order to access vendor features.
You are responsible for:
- providing accurate, current, and complete information;
- keeping your login credentials confidential;
- all activities that occur under your account;
- promptly updating account information where necessary;
- ensuring that information submitted through your account is truthful and not misleading;
- ensuring that your account is not used for unlawful, fraudulent, abusive, or misleading activity.
You must notify us immediately if you suspect unauthorised access to your account.
7. Customer Terms
Customers may browse listings, communicate with vendors through platform features, and purchase products or services directly from vendors.
The customer acknowledges and agrees that:
- the vendor, not Ermisway, is the contracting seller or service provider;
- the vendor is responsible for the accuracy of its listing, pricing, stock status, service description, delivery terms, refund terms, return terms, cancellation terms, and legal compliance;
- any questions regarding the product, service, delivery, refund, exchange, cancellation, return, warranty, or complaint should first be addressed to the vendor;
- Ermisway may, but is not obliged to, assist in platform-level communication, moderation, or issue review where appropriate;
- customers must provide accurate information when placing orders or communicating through the platform;
- customers must not misuse the platform to make false claims, abusive complaints, fraudulent chargebacks, or misleading reports.
8. Vendor Terms
Vendors may use Ermisway to market and sell products and/or services through their own store presence on the platform, subject to these Terms and any additional vendor-facing rules, onboarding requirements, category rules, or commercial terms we may introduce.
Vendors are solely responsible for:
- the legality, quality, safety, compliance, and accuracy of their listings, products, services, claims, and offerings;
- maintaining all required licences, permits, registrations, approvals, insurance, certifications, and authorisations;
- providing accurate business, trader, contact, tax, registration, licensing, and payment onboarding information where requested by Ermisway or required by law;
- ensuring that legally required trader, business, product, delivery, refund, return, cancellation, and consumer information is made available to customers where applicable;
- setting lawful prices, taxes, VAT, duties, delivery terms, refund terms, return terms, cancellation terms, and service conditions;
- determining, charging, collecting, reporting, and remitting any applicable taxes, VAT, duties, fees, or charges arising from their sales, unless Ermisway is legally required to do so;
- handling customer service, complaints, cancellations, refunds, returns, disputes, chargebacks, warranties, and after-sales support relating to their sales;
- complying with applicable laws in Cyprus, Greece, the EU, and any other relevant jurisdiction;
- maintaining an active and compliant Stripe Connect Standard or other approved payment account where required;
- complying with payment provider rules, identity verification requirements, anti-fraud requirements, and dispute processes;
- ensuring that their listings, images, pricing, descriptions, claims, stock information, business information, and promotions are accurate and not misleading.
Vendors must not misrepresent their identity, location, trader status, authorisations, product origin, stock availability, pricing, taxes, delivery terms, refund terms, return terms, cancellation terms, or legal compliance.
Vendors must respond to customer enquiries, complaints, and order-related issues within a reasonable time and cooperate with lawful platform reviews, payment provider requests, or investigations.
9. Vendor Listings and Content Responsibility
Vendors may upload and publish business information, product listings, service descriptions, prices, media, branding, promotional materials, store information, and other content on Ermisway.
Each vendor represents and warrants that:
- it owns or has the necessary rights to use and publish its content;
- its content is accurate, lawful, non-misleading, and not deceptive;
- its listings do not infringe any third-party intellectual property, privacy, publicity, consumer, or other rights;
- its products and services comply with applicable legal, regulatory, consumer, safety, labelling, advertising, and licensing requirements;
- its content does not contain false claims, hidden conditions, misleading omissions, unlawful health claims, fake scarcity claims, or deceptive pricing;
- it will promptly correct or remove inaccurate, outdated, unlawful, unavailable, or misleading listings.
Vendors offering physical products are responsible for ensuring that products comply with applicable product safety, labelling, consumer information, recall, warranty, and regulatory requirements, including any EU, Cyprus, or Greek requirements that apply to the relevant product category.
Ermisway may perform checks, moderation, or reviews of listings and vendor content, but such checks do not create any guarantee, warranty, certification, approval, endorsement, or assumption of liability by Ermisway.
10. Orders, Payments, Refunds, and Chargebacks
Orders placed through Ermisway are orders placed with the relevant vendor, not with Ermisway.
Vendors use their own approved payment account, including Stripe Connect Standard or another approved payment provider where applicable. Unless expressly stated otherwise in writing, Ermisway does not act as the merchant of record for vendor sales and does not receive, hold, control, or settle customer payment funds as seller revenue.
The vendor is responsible for managing its own payment account, refunds, returns, cancellations, disputes, chargebacks, customer complaints, fulfilment issues, tax obligations, and compliance with payment provider rules.
Refunds, disputes, and chargebacks may be handled through Stripe, Stripe Connect, card networks, banks, or other payment providers according to their own rules and procedures. Vendors must cooperate with those processes and provide any evidence or information required.
Ermisway is not responsible for:
- approving or declining vendor refunds;
- processing vendor returns or exchanges;
- handling vendor chargebacks;
- reimbursing customers for vendor non-performance;
- covering losses caused by vendor fraud, non-delivery, defective goods, service failure, stock shortages, or misleading listings;
- settling disputes between customers and vendors, except where Ermisway is legally required to take a platform-level action.
Ermisway may, at its discretion, assist with platform-level communication or review where a customer or vendor reports an issue. Such assistance does not make Ermisway the seller, merchant of record, refund decision-maker, chargeback handler, or guarantor of vendor performance.
11. Consumer Rights
Customers may have mandatory consumer rights under applicable law. Where such rights apply to a vendor sale, the vendor is responsible for respecting and fulfilling those rights.
Where a customer acts as a consumer, nothing in these Terms or in any vendor policy limits mandatory rights under applicable EU, Cyprus, Greek, or other consumer protection laws, including rights relating to pre-contract information, withdrawal, cancellation, refunds, defective or non-conforming goods, delivery, unfair commercial practices, and after-sales remedies.
Vendors are responsible for setting and complying with their own lawful refund, return, exchange, cancellation, delivery, warranty, and after-sales policies. Vendor policies must be clear, accurate, available to customers where required, and must not reduce mandatory consumer rights.
Ermisway does not replace the vendor’s legal obligations to customers, except where Ermisway is expressly required to do so by applicable law.
12. Shipping, Delivery, Fulfilment, and Service Performance
All shipping, delivery, fulfilment, appointment scheduling, service performance, collection, returns logistics, and related arrangements are handled solely by the vendor.
Vendors must deliver goods or perform services within the timeframe stated in the listing, checkout, customer agreement, or vendor communication, and in any event in accordance with applicable consumer protection laws. Where no delivery timeframe is agreed, vendors must comply with the default delivery periods required by applicable law.
Ermisway is not responsible for delays, failed deliveries, missed appointments, service quality, stock shortages, incorrect stock representations, damaged goods, non-conforming goods, or other fulfilment-related issues caused by vendors or third parties acting for vendors.
13. Messaging, Conduct, and Platform Safety
Ermisway may provide messaging or communication features between customers and vendors. Users must use these features lawfully, respectfully, and in good faith.
You must not use the platform to:
- harass, threaten, abuse, defame, or intimidate others;
- send spam, unsolicited promotions, or deceptive messages;
- share unlawful, fraudulent, misleading, obscene, hateful, abusive, or infringing content;
- attempt scams, phishing, impersonation, payment fraud, or other deceptive conduct;
- collect, scrape, misuse, resell, or unlawfully process user data;
- circumvent security, access controls, payment provider processes, or platform restrictions;
- use the platform in a way that threatens platform integrity, security, or user safety.
Ermisway reserves the right to monitor platform integrity and to review, preserve, disclose, or investigate account activity, listings, orders, reports, and communications where reasonably necessary for dispute review, fraud prevention, abuse prevention, enforcement of these Terms, legal compliance, payment provider cooperation, or protection of users and the platform.
14. Prohibited Products, Services, Content, and Conduct
Users may not use Ermisway to offer, promote, request, distribute, or facilitate unlawful, dangerous, restricted, misleading, or prohibited products, services, or content.
Without limitation, the following are prohibited unless expressly permitted by law and by Ermisway in writing:
- illegal goods or services;
- counterfeit, stolen, unauthorised, or infringing goods;
- weapons, explosives, ammunition, and unlawful self-defence items;
- illegal drugs, controlled substances, unlawful drug paraphernalia, or restricted substances;
- hazardous, toxic, or restricted materials sold unlawfully;
- fraudulent schemes, deceptive financial services, pyramid schemes, or scams;
- adult sexual services or unlawful adult content;
- products or services that violate health, safety, consumer, advertising, labelling, product safety, or licensing laws;
- medicines, medical devices, supplements, cosmetics, food products, alcohol, tobacco, nicotine products, CBD products, animals, financial products, or other regulated categories unless expressly permitted by Ermisway and fully compliant with applicable law;
- content that is defamatory, abusive, hateful, threatening, discriminatory, misleading, or unlawful;
- content that infringes intellectual property, privacy, publicity, consumer, or other rights;
- malware, spyware, hacking tools, or tools intended for unlawful surveillance, cyber abuse, or unauthorised access.
Ermisway may publish additional prohibited or restricted category rules from time to time. Vendors must check and comply with those rules before listing products or services.
Ermisway may remove any listing, content, service, store, or account that in its sole judgment creates legal, safety, reputational, operational, payment, compliance, or platform integrity risk.
15. Vendor Fees, Subscriptions, and Promotions
Vendors may be charged fees for access to certain Ermisway features, including but not limited to:
- subscription plans;
- promotional placements;
- advertising features;
- optional visibility tools;
- other optional paid platform services introduced from time to time.
Ermisway does not currently operate on a commission-avoidance or anti-circumvention model. Vendors may direct customers to their store and may use their own customer relationships, subject to these Terms, applicable law, payment provider rules, and platform safety requirements.
Vendor subscriptions may renew automatically unless cancelled before the renewal date through the available billing, account, or support process. Cancellation stops future renewals but does not automatically refund fees already incurred, unless required by law or expressly stated.
If payment fails, Ermisway may restrict, downgrade, suspend, or terminate access to paid vendor features, promotional placements, subscription benefits, or platform tools.
Ermisway reserves the right to define, amend, or introduce commercial terms, fee structures, billing cycles, feature limits, payment conditions, visibility rules, and subscription benefits. Material changes to subscription fees or core paid features will be notified to vendors in advance where required by law and will normally apply from the next renewal period.
Unless otherwise stated in writing, vendor platform fees paid to Ermisway are non-refundable once incurred, except where required by law.
16. Reporting Illegal Content, Listings, and Complaints
Users may report listings, content, conduct, stores, products, services, reviews, or messages that they believe are illegal, infringing, fraudulent, misleading, unsafe, abusive, or otherwise in breach of these Terms.

To help us review a report efficiently, users should provide as much relevant information as possible, including:
- the relevant listing URL, store URL, message, review, or content location;
- the vendor name or account involved, where applicable;
- the order reference, where applicable;
- a clear explanation of the issue;
- supporting screenshots, documents, or evidence, where available;
- the reporting person’s name and contact email;
- a statement that the report is accurate and made in good faith.
Ermisway aims to review reports within a reasonable time, taking into account the nature, urgency, complexity, and legal risk of the report. Reports involving serious safety, fraud, infringement, or legal risks may be prioritised.
Ermisway may review, moderate, restrict, remove, disable, preserve, or escalate relevant content, listings, stores, accounts, or communications where reasonably necessary. Ermisway is not obliged to resolve every dispute or to take a specific action requested by a reporting party.
Where required by applicable law, Ermisway may provide affected users with a statement of reasons for content restrictions, listing removals, account suspensions, or other moderation actions.
17. Suspension, Removal, and Termination
Ermisway may at any time, with or without prior notice where reasonably necessary, suspend, restrict, remove, disable, downgrade, or terminate:
- any account;
- any store;
- any listing or content;
- any review or message;
- any promotional placement;
- any payment-related feature;
- any message or communication feature;
- access to any platform feature or paid service.
This may occur for reasons including suspected breach of these Terms, fraud, abusive conduct, unlawful activity, repeated complaints, legal risk, security concerns, non-payment, inaccurate vendor information, unverifiable vendor information, payment provider restrictions, reputational harm, prohibited listings, customer risk, or platform integrity concerns.
Platform-level suspension, restriction, removal, or moderation does not make Ermisway responsible for vendor refunds, returns, chargebacks, fulfilment, customer service, or other vendor obligations.
18. Review of Platform Decisions
Affected users may request review of a suspension, restriction, removal, disabled listing, account action, or other moderation decision by contacting [email protected].
The request should include the relevant account email, affected listing or order reference, explanation of the issue, reasons for disagreement, and any supporting evidence.
Ermisway will review such requests within a reasonable time but does not guarantee reinstatement, republication, reversal, compensation, or any specific outcome.
19. Reviews and Ratings
Ermisway may allow customers to leave reviews, ratings, comments, or feedback about vendors, products, or services. Reviews must be honest, relevant, lawful, and based on genuine experience.
Users must not submit fake, misleading, paid, coerced, abusive, defamatory, irrelevant, or manipulated reviews. Vendors must not review their own store, pressure customers to leave positive reviews, threaten customers over reviews, or offer undisclosed incentives for reviews.
Ermisway may moderate, remove, restrict, or refuse reviews that appear fraudulent, abusive, irrelevant, unlawful, misleading, manipulated, or otherwise in breach of these Terms.
20. Intellectual Property
The Ermisway platform, website, design, branding, logos, text, software, graphics, layout, databases, workflows, and other platform materials are owned by or licensed to Ermisway and are protected by intellectual property laws.
Except as expressly permitted in writing, no user may copy, reproduce, distribute, modify, scrape, republish, reverse engineer, frame, resell, or commercially exploit any part of Ermisway.
21. Licence to Use User Content
By submitting content to Ermisway, including vendor listings, logos, images, descriptions, profile information, product information, service information, store information, reviews, and other materials, you grant Ermisway a non-exclusive, worldwide, royalty-free, sublicensable licence to host, store, reproduce, display, adapt, format, publish, promote, translate, and distribute that content for the purpose of operating, improving, marketing, administering, securing, and promoting the platform.
You represent that you have all rights necessary to grant this licence.
Information that vendors choose to publish on their store or listing pages, including business name, profile description, images, products, services, contact details, and other listing content, may be publicly visible on Ermisway and may be indexed by search engines.
22. Third-Party Services
Ermisway may rely on third-party services, including payment processors, hosting providers, email providers, analytics tools, security tools, consent-management tools, chat tools, CRM tools, advertising tools, and other technical service providers.
Vendors may also be required to use third-party services, including Stripe, Stripe Connect, or other approved payment providers. Those third-party services may have their own terms, policies, fees, verification processes, restrictions, disputes procedures, account decisions, and compliance requirements.
Ermisway is not responsible for third-party service terms, outages, errors, account restrictions, onboarding failures, payment provider decisions, payout delays, verification failures, or other third-party actions, except where Ermisway is legally required to be responsible.
23. Disclaimers
Ermisway provides the platform on an “as is” and “as available” basis, to the maximum extent permitted by law.
To the fullest extent permitted by law, Ermisway disclaims all warranties, representations, and guarantees, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, reliability, or uninterrupted operation.
In particular, Ermisway does not guarantee:
- the quality, legality, safety, suitability, availability, or accuracy of vendor products or services;
- the truthfulness of vendor listings, reviews, or content;
- that vendors will complete transactions properly, lawfully, or on time;
- that customers or vendors will act honestly or lawfully;
- that the platform will always be error-free, secure, uninterrupted, or continuously available;
- that any vendor will receive enquiries, visits, orders, sales, revenue, or business results.
24. Limitation of Liability
To the fullest extent permitted by law, Ermisway and its directors, officers, employees, affiliates, service providers, and agents shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, loss of opportunity, or reputational harm arising out of or in connection with:
- use of or inability to use the platform;
- vendor products, services, listings, conduct, omissions, or non-performance;
- customer conduct or misuse of the platform;
- refund disputes, chargebacks, cancellations, returns, delivery failures, damaged goods, defective goods, service complaints, or after-sales issues involving vendors;
- payment provider decisions, payout delays, verification failures, chargeback processes, or account restrictions;
- unauthorised access, malware, cyber incidents, data loss, service interruption, or third-party acts;
- changes, suspensions, restrictions, removals, or discontinuation of platform features.
To the fullest extent permitted by law, Ermisway’s aggregate liability for any claim relating to the platform shall not exceed the amount paid by the relevant user directly to Ermisway in the six (6) months preceding the event giving rise to the claim, or EUR 100, whichever is greater.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, fraudulent misrepresentation, wilful misconduct, or any mandatory consumer rights that cannot be excluded under applicable law.
25. Indemnity
You agree to defend, indemnify, and hold harmless Ermisway, Innotevia Limited, and their directors, officers, employees, affiliates, service providers, and agents from and against any claims, liabilities, losses, damages, judgments, fines, penalties, costs, and expenses, including reasonable legal fees, arising out of or related to:
- your breach of these Terms;
- your misuse of the platform;
- your content, listings, products, services, store, reviews, or communications;
- your violation of applicable law or third-party rights;
- your refund, return, chargeback, delivery, fulfilment, customer service, tax, product safety, or consumer law obligations;
- any dispute between you and another user, including disputes between customers and vendors;
- any claim that vendor products, services, listings, content, or conduct caused loss, damage, injury, legal breach, or regulatory risk.
26. Investigations and Cooperation
Ermisway reserves the right to investigate suspected breaches of these Terms, platform abuse, fraudulent conduct, illegal content, prohibited listings, payment risk, customer risk, vendor risk, or safety concerns.
Users agree to cooperate reasonably with such investigations and to provide information or documentation where lawfully requested by Ermisway.
We may preserve or disclose relevant information where required by law or where reasonably necessary to protect our platform, users, rights, legal interests, payment systems, or compliance interests.
27. Privacy and Data Protection
Use of Ermisway is also subject to our Privacy Policy and Cookie Policy, which explain how personal data and cookies are handled.
Ermisway acts as an independent data controller for personal data processed to operate the platform, manage accounts, facilitate platform functionality, provide support, monitor safety, communicate with users, administer payments and subscriptions, and comply with legal obligations.
Vendors act as independent data controllers for personal data they receive or access in connection with their own sales, services, fulfilment, delivery, customer support, invoicing, refunds, returns, legal obligations, and customer relationships.
Vendors must process customer personal data lawfully, securely, and only for legitimate purposes connected with the relevant transaction or customer relationship. Vendors must not use customer data for spam, unrelated marketing, resale, scraping, unlawful profiling, or any other unlawful purpose.
28. Changes to the Platform and These Terms
Ermisway may modify, test, suspend, discontinue, replace, or update any part of the platform, including features, pricing, subscriptions, promotional tools, vendor requirements, account functionality, search tools, ranking systems, payment integrations, technical integrations, vendor dashboards, and customer workflows.
We do not guarantee that any feature, layout, workflow, integration, visibility tool, or platform function will remain available permanently.
We may also amend these Terms from time to time. Updated Terms will be posted on the website with a revised “Last updated” date. Continued use of the platform after changes take effect constitutes acceptance of the revised Terms, except to the extent a different acceptance mechanism is required by law.
29. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to conflict of law principles.
Subject to any mandatory rights available to consumers under applicable law, the courts of Cyprus shall have exclusive jurisdiction over disputes arising out of or in connection with these Terms or the use of Ermisway.
If you are a consumer, you may also have mandatory rights under the laws of your country of residence that cannot be excluded by these Terms.
30. Language Versions
These Terms may be made available in more than one language. If there is any inconsistency between language versions, the English version shall prevail, unless mandatory law requires otherwise.
